Terms of Service

The agreement between you and CargoYatra for using the platform.

1. Agreement to terms

This Terms of Service governs your access to and use of the CargoYatra platform, websites and APIs (the “Service”), operated by Lacspace Corporation Pvt. Ltd. (“CargoYatra”, “we”, “us” or “our”). By using the Service you agree to this Terms of Service. If you do not agree, do not use the Service.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and “you” refers to that entity.

2. The Service

CargoYatra is a multi-tenant logistics management platform that provides shipment booking, tracking, fleet and driver management, warehouse and inventory, invoicing, payments and related tools. We may add, modify or remove features over time.

The Service is provided on a software-as-a-service basis. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business operations during your subscription term.

3. Accounts & eligibility

You must provide accurate account information and keep it up to date. You are responsible for safeguarding your login credentials and for all activity under your account.

You must be at least 18 years old and capable of forming a binding contract. You are responsible for the acts and omissions of all users you invite to your workspace.

Notify us immediately at the contact address below if you suspect any unauthorised use of your account.

4. Subscriptions, fees & taxes

Paid plans are billed in advance on the cycle shown at checkout (for example monthly or annually). Unless stated otherwise, fees are exclusive of applicable taxes (such as VAT or GST), which you are responsible for.

Plans renew automatically unless cancelled before the end of the current term. You authorise us and our payment processors to charge your chosen payment method for recurring fees.

We may change pricing on renewal with reasonable prior notice. Refunds, where applicable, are governed by our Refund & Cancellation Policy.

5. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. You must not misuse the Service, interfere with its operation, or attempt to access it other than through the interfaces we provide.

6. Customer data & content

You retain all rights in the data you and your users submit to the Service (“Customer Data”). You grant us a limited licence to host, process and transmit Customer Data solely to provide and support the Service.

You are responsible for the accuracy, quality and legality of Customer Data and for obtaining all consents required to collect and process it through the Service. Our handling of personal data is described in our Privacy Policy and, where applicable, our Data Processing Agreement.

7. Intellectual property

The Service, including all software, design, text, graphics and trademarks, is owned by Lacspace Corporation Pvt. Ltd. or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights.

If you provide feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without restriction.

8. Third-party integrations

The Service can connect to third-party services (for example carriers such as DHL, payment processors, messaging and mapping providers). Your use of those services is governed by their own terms, and we are not responsible for third-party services. You are responsible for any credentials you provide to enable an integration.

9. Service availability

We aim to keep the Service available and reliable; service-level commitments, where offered, are set out in our Service Level Agreement. We may perform maintenance and will use reasonable efforts to limit disruption.

10. Suspension & termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to us, other customers or third parties.

On termination, your right to use the Service ends. We will make Customer Data available for export for a limited period as described in our Privacy Policy, after which it may be deleted.

11. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. See our Disclaimer for details.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue or data. Our aggregate liability arising out of or relating to the Service will not exceed the fees you paid to us in the twelve months before the event giving rise to the claim.

13. Indemnity

You agree to indemnify and hold us harmless from claims, damages and expenses arising out of your Customer Data, your use of the Service in breach of these Terms, or your violation of any law or third-party right.

14. Governing law & disputes

These Terms are governed by the laws of Nepal. Subject to any applicable arbitration agreement, the courts of Kathmandu, Nepal shall have exclusive jurisdiction. Nothing in this clause limits any mandatory consumer rights you may have in your own jurisdiction.

15. Changes to these terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.
